License Agreement for the Progress out of Poverty User Guide:
This is a legal agreement between you and Grameen Foundation USA ("Grameen Foundation") setting forth the terms and conditions for your use of the electronic “Training Guide for Pilots: Participant’s Guide” (throughout this agreement, referred to as the "Guide"). By clicking "I AGREE" below, you are agreeing to an electronic contract between yourself and Grameen Foundation on the terms set forth below. This contract will be as binding as a manually signed written contract. If you do not agree to the terms of this agreement, you are not authorized to download, distribute or use the Guide. You acknowledge that Grameen Foundation is providing this Guide as an aid to your business venture and that you are fully responsible for the success or failure of your business venture. The Guide is provided "as is" without warranty of any kind, and Grameen Foundation hereby disclaims any and all implied warranties to the maximum extent permitted by applicable law. Grameen Foundation will have no responsibility for any losses or damages that you might incur as a result of your implementation of the guidance provided in the Guide. The Guide is protected by United States copyright law and international copyright laws and treaties. You do not become the owner of the Guide through your agreement to these terms, or by downloading or using the Guide. Grameen Foundation and its licensors retain ownership of the Guide and all copies thereof and all related intellectual property rights, and reserves all rights not expressly granted to you under this agreement. All trademarks, copyrights and other intellectual property are the exclusive property of the Grameen Foundation. Upon your receipt of the Guide, Grameen Foundation grants to you a non-exclusive, non-sublicensable, perpetual license to use the Guide solely for the purpose of implementing the Progress out of Poverty IndexTM, subject to the following conditions: Use of the Progress out of Poverty Index will be for intended purposes consistent with the goals of the Grameen Foundation. You will not distribute or provide the Guide to any other person, except as you reasonably require to facilitate your business activities. If you distribute or reference the Guide, you agree to do so in a manner that clearly attributes to Grameen Foundation (or its licensors) original authorship and ownership of the Guide. You must reproduce on each copy the Grameen Foundation copyright notice and any other proprietary legends that were on the original. You will not distribute any version of the Guide modified by you or anyone else, excluding any modifications that might be made available to you by Grameen Foundation. You agree that Grameen Foundation will have no obligation under this agreement to provide any training relating to the Guide. If you violate any of the terms of this agreement, Grameen Foundation may terminate your license to the Guide, and you will be required to destroy all copies of the Guide in your possession promptly following notification from Grameen Foundation indicating that your license is terminated. You do not have any right to assign or transfer this Agreement, by operation of law or otherwise, to any other entity. You agree to comply with all applicable legal and regulatory requirements, including those of your local governmental authorities. Grameen Foundation will have no responsibility for your violation of applicable laws caused by your downloading or use of the Guide. You will not download or use the Guide to the extent that download or use is prohibited by applicable laws or regulations, including any export controls, sanctions or other trade restrictions. In particular, and without limitation, you may not download or use the Guide if you are in Cuba, Iran, North Korea, or Sudan or designated as a specially designated national under applicable laws. This agreement constitutes the complete and exclusive agreement, oral or written, between you and Grameen Foundation relating to the manual. This Agreement shall be governed by, and interpreted and construed in accordance with, the laws of New York of the United States of America. Any disputes arising out of, in connection with or with respect to this Agreement, the subject matter hereof, the performance or non-performance of any obligation hereunder, or any of the transactions contemplated hereby shall be resolved by arbitration conducted in accordance with the International Commercial Arbitration Rules of the American Arbitration Association. The place of arbitration shall be New York, New York. The decision of the arbitration panel shall be final and binding on the Parties, and shall be enforceable in any court of competent jurisdiction.
